Terms and Conditions Summary

Services Provided

• Rescan 3D provides 3D scanning, reverse engineering, drafting, design and related consultancy services as agreed in the Quotation.

• Any changes, variations or additional work outside the agreed scope may be charged separately. 

Fees & Payment

• Fees are as stated in the Quotation and exclude GST.

• Payment is due within 14 days of invoice unless otherwise agreed.

• Late payments may incur interest and/or suspension of services.

Intellectual Property

• Rescan 3D retains ownership of all intellectual property, scan data, CAD models and other digital assets created by us during the project unless otherwise agreed in writing. 

• Clients receive a licence to use project deliverables for their intended purpose. 

• Deliverables may be provided to subcontractors, fabricators, installers and end clients where reasonably necessary for the project. 

• Any royalty arrangements, exclusivity agreements or alternative licensing terms will be specified in the Quotation. 

• Background IP (pre-existing intellectual property) remains the property of the party that created or owns it. 

Reverse Engineering & Third-Party Intellectual Property

• Where work involves reverse engineering, reproduction, modification or documentation of client-supplied items, the Client is responsible for ensuring the item can lawfully be reproduced or used.

• Rescan 3D does not provide patent, registered design or intellectual property clearance services unless expressly agreed in writing. 

Portfolio & Marketing

• Rescan 3D may use non-confidential project information, images, scans, renderings and project descriptions for portfolio, website, marketing and social media purposes.

• Clients may request confidentiality in writing before work commences or enter into a separate non-disclosure agreement where required. 

Engineering Disclaimer

• Rescan 3D provides scanning, drafting, modelling and design services. 

• Unless expressly stated otherwise, deliverables are not certified engineering documents. 

• Rescan 3D does not provide engineering certification.

• We do not warrant that deliverables are suitable for any specific engineering application without independent engineering review where required. 

• Clients are responsible for obtaining independent engineering review, certification or approval where required - we can help organise certification on a client’s behalf through third parties.

Confidentiality & Privacy

• Both parties must keep shared information confidential except where disclosure is required by law or otherwise permitted under the Terms and Conditions. 

• Clients are responsible for obtaining any necessary consent for personal information provided to Rescan 3D.

Warranties & Liability

• Rescan 3D will perform services with reasonable care and skill. 

• Liability is limited to fees paid for the relevant services, except as required by law.

• Neither party is liable for indirect or consequential loss.

• Rescan 3D does not guarantee any particular outcome, result or completion date.

Termination

• Either party may terminate for material breach if the breach is not remedied within the required notice period.

• Either party may terminate the engagement by providing one month's written notice. 

• All fees, expenses and costs incurred up to the termination date must be paid promptly.
